Terms of Use

1. Acceptance of Terms

By accessing or using any product, service, application programming interface (API), website, or platform operated by Astitva Technologies Private Limited ("Astitva", "we", "our", or "us"), you ("User", "you", or "your") agree to be legally bound by these Terms of Use ("Terms"). If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, you must immediately discontinue all access to and use of Astitva services.

2. Description of Services

Astitva provides applied artificial-intelligence products and services including, but not limited to:

• PulseVoice.ai — AI-powered voice agent and telephony automation platform.
• LiveAnima.ai — Generative video, real-time digital human, and avatar creation platform.
• Fintastick — Financial AI analytics and intelligence services.
• AutoPandits — Automotive AI content and dealership intelligence platform.
• Custom AI system design, integration, and managed services for enterprises.
• APIs, SDKs, and developer tools enabling the above capabilities.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice where practicable.

3. Eligibility and Account Registration

You must be at least 18 years of age and legally capable of entering into binding contracts. Commercial use of our AI services requires a valid business registration. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to use Astitva services to:

• Generate, distribute, or promote content that is illegal, defamatory, obscene, hateful, or infringes any third-party rights.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Engage in fraudulent telemarketing, robocalling, or any form of unsolicited communication in violation of applicable law (including the TRAI regulations in India).
• Deploy AI-generated voice, video, or digital humans to deceive recipients without clear disclosure that they are interacting with an AI system.
• Reverse-engineer, decompile, disassemble, or attempt to derive source code from our AI models or proprietary systems.
• Use our services to train competing AI models or extract model weights without our written consent.
• Attempt to circumvent usage limits, access controls, billing systems, or safety filters.
• Use automated means to scrape, crawl, or extract data from our platforms beyond what is permitted by our APIs.
• Process any data classified as sensitive personal data (health, financial, biometric) without an appropriate data processing agreement in place.

Astitva reserves the right to suspend or terminate access immediately and without notice for violations of this section.

5. AI-Specific Terms

Model outputs: AI-generated content (text, voice, video, images) is produced probabilistically and may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and taking responsibility for any AI output before deploying it in a production environment or presenting it to end users.

Training data: Unless expressly agreed in writing, Astitva does not use your proprietary data or end-user data to train or improve our core AI models. Custom fine-tuning arrangements are governed by a separate Data Processing Agreement.

Disclosure obligation: When deploying voice agents, digital humans, or any AI-generated communication to end users on our platform, you must comply with all applicable disclosure requirements and clearly indicate when a user is interacting with an AI system, as required by Indian IT law and emerging AI governance frameworks.

Regulatory compliance: You are solely responsible for ensuring that your use of AI services complies with sector-specific regulations applicable to your industry (IRDAI, SEBI, RBI, TRAI, etc.).

6. Intellectual Property

All intellectual property rights in Astitva platforms, AI models, APIs, branding, documentation, and underlying technology vest exclusively in Astitva Technologies Private Limited or its licensors. These Terms do not transfer any ownership rights to you.

You retain ownership of content and data you input into our services ("Customer Data"). You grant Astitva a limited, non-exclusive, royalty-free licence to process Customer Data solely to deliver the contracted services. AI-generated outputs produced using our services are licensed to you subject to these Terms.

7. Payment and Billing

Access to paid features is subject to the pricing schedule agreed at the time of subscription or enterprise contract. All fees are in Indian Rupees (INR) unless otherwise stated. Taxes (GST and applicable levies) are charged in addition to listed prices. Failure to pay may result in suspension of services.

8. Confidentiality

Each party agrees to keep the other party's non-public technical, commercial, and operational information confidential and not to disclose it to third parties without prior written consent, except as required by law or with the disclosing party's written approval.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASTITVA SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASTITVA, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ASTITVA IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Astitva Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) infringement of any third-party rights by you or your end users.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising from these Terms.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. Disputes that cannot be resolved through negotiation shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), with a single arbitrator mutually agreed upon by the parties.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address on your account or by prominent notice on our platform at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.

14. Termination

Either party may terminate the service relationship upon 30 days' written notice. Astitva may terminate immediately if you breach these Terms or if required by law. Upon termination, your access to services ceases and you must cease use of all Astitva APIs and platforms. Clauses relating to IP, confidentiality, limitation of liability, indemnification, and governing law survive termination.
